What is an intellectual property licence?
It grants defined permission to use IP without
necessarily transferring ownership. The agreement
should identify the assets, permitted uses,
restrictions, territory, duration and commercial terms.
How is a licence different from an assignment?
A licence grants permissions; an assignment
transfers ownership of specified rights.
The correct structure and formalities depend
on the asset, applicable law and intended transaction.
Do you advise licensors and licensees?
Yes, subject to conflicts. The rights-holder’s
retained control and the licensee’s operational
needs require different perspectives on the
same commercial terms.
What is the difference between exclusive, sole and non-exclusive rights?
The distinctions generally concern who may
exercise the licensed rights, including whether
the owner retains use and may license others.
The label is not enough: the agreement must
define the intended effect for the relevant
territory, field and period.
Does paying a freelancer mean I own the work?
Payment alone should not be treated as proof
that all relevant rights have transferred.
The relationship, applicable law, existing
terms and required assignment or permission
need examination.
Can you review a licence supplied by another business?
Yes. The agreed review can address the rights,
financial terms, restrictions, liability and
exit provisions. Marked-up drafting and negotiations
are included where agreed.
Can you help structure royalties and audit provisions?
Yes. The instruction can address payment triggers,
revenue definitions, deductions, minimum commitments,
reporting and audit rights. Financial valuation
and tax advice are separate where required.
Do data and AI agreements simply license ownership of data?
Not necessarily. Different rights and restrictions
may apply to datasets, software, models, inputs
and outputs. Contractual permission, privacy,
confidentiality and third-party rights must be
considered separately.
Can you advise on patents or standard-essential patents?
These instructions require individual scoping.
Patent validity, technical essentiality, FRAND
commitments and specialist competition questions
may require patent-attorney, technical or other
specialist advisers. We confirm the team and work
before accepting the proposed scope.
Does licence drafting include full IP due diligence?
Only where agreed. Drafting warranties does not
verify every underlying right. Chain-of-title
investigation, technical assessment, searches
and transaction due diligence must be identified
in the scope.
Can the same licence cover several countries?
It can be structured for multiple territories,
but local rights, restrictions, formalities
and enforcement need consideration. Foreign-law
advice and local representation are separately
scoped where required.
What if the other party uses the IP beyond the agreement?
We assess the rights, licence wording and
evidence to identify potential contractual
or IP remedies. Negotiation, settlement and
proceedings require a scope appropriate
to the dispute.
Should I start with contract review or licensing advice?
Tell us the relationship, assets and objective.
We can coordinate the commercial agreement
and rights questions in one defined instruction.
The contract directory helps identify the
relevant document types.
How does an engagement begin?
Submit a concise enquiry identifying the
parties, assets, proposed use, territories
and deadline. We consider the appropriate
paid consultation or representation proposal.
Substantive advice begins once scope and
terms are agreed.
